Trends in French governance have shown a focus on the following essential aspects:

  • Accountability of management bodies, particularly with regard to the determination of their remuneration

Michel de FABIANI

Vice-President Franco-British Chamber of Commerce and Industry

Originating from Lyon, Michel joined BP in 1969. At BP, Michel worked in various roles including Nutrition, Chemicals, Finance and Oil activities and he worked in various cities, including Milan, Paris and Brussels. Within the BP Group, he became Managing Director of BP Oil Europe, joined the Board of Directors in 1999 as Regional Chairman for Europe of BP Group, a position he held until 2004. He was also Chairman of the Board of Directors and Managing Director (CEO) of BP France from May 1995 to 2004. In September 1997, he was appointed CEO of the BP/Mobil joint venture in Europe.

He represented the interests of his sector of activity, particularly within the International Oil Summit (annual summit organized in Paris with the Institut Français du Pétrole and the specialist journal Pétrostratégies), as Vice-President of Europia, the European Petroleum Industry Association, until the end of 2004, when he left his executive functions. Michel participated in 1999 as a manager of BP France in the information report on the role of oil companies in international politics and its social and environmental impact produced by the National Assembly.

He has and currently serves as:

  • Chairman of the Board of Hertford British Hospital Corporation (in Levallois)

In 2005, Michel founded the Sully Economic Circle, a political and industrial club and think tank  which promotes democratic, social, liberal and European values ​​and exchanges on the themes of competitiveness, relocation, taxation, social regulations, training and entrepreneurship. Michel is co-chair of the French Institute of Directors (IFA) Nomination / Remuneration Committee and Chair of the ECODA’s Policy Committee

Sophie currently practices corporate, securities and restructuring law in Paris and has worked in the past for leading international law firms (such as Clifford Chance, Weil Gotshal & Manges, Freshfields and DLA Piper).

She has an in-depth knowledge of US securities law, Chapter 11 and Delaware corporate law, as well as of English law. This enables her to understand the legal culture of her English and American clients and to explain them how French law differs from their own legal system.

Sophie is a researcher and guest lecturer in Law and Finance at Panthéon-Sorbonne, HEC and Oxford University. She is also the founder of the think tank Droit & Croissance / Rules for Growth.

Sophie graduated from the LL.M. in business law of King’s College London and the Magistère Juriste d’Affaires of Paris II-Panthéon Assas University.

André JACQUEMET

André Jacquemet expert for CEO challenges

André has significant international experience assisting organizations to achieve their development objectives while maintaining an effective stance against criminal risk and damage to reputation. He makes use of a responsible development approach which is respectful of people and founded on good governance principles and practices.

André is a telecom engineer by training and has managed major multinational programs with budgets of  several hundred million dollars. This has led him to work internationally and to live abroad for several years in Australia and Central Europe. He has also created and managed several subsidiaries on behalf of large North American groups.

André specializes in providing corporate governance advisory and training as well as compliance services and risk management, in particular with regard to corruption, money laundering and tax evasion.

Carol SIROU

Independent Board Member, Audit Commitee and Stategy Commitee at Europcar Mobility Group

Carol is an independent director and consultant with over 25 years of experience in senior management positions in Europe and the United States.

Before becoming CEO of S&P France in 2009, she worked her way up through the ranks of Standard & Poor’s Ratings. She then led the rating agency’s activities through the subprime and eurozone crisis (2008-2014). In 2014, she moved to S&P’s New York headquarters, before being appointed global head of compliance for S&P Global Inc, the parent company of S&P Ratings in 2016.

In 2018, Carol founded Safineia Advisors LLC, which provides management, risk and governance consulting services. Throughout her career, Sirou has found “the experience of going through difficult times and being able to help support an organization in adjusting its business model,” highly fulfilling. “At the end of the day, we do not always have the answers,” she adds, “so it is the power of being surrounded by the right people with different skill sets and being able to leverage all of this that makes what I do for a living very exciting.” Sirou also enjoys the opportunity to work with upcoming leaders of the next generation. “I often work with very talented young professionals,” she says. “I am always amazed by their talent, and I appreciate that I can help them become even more effective and grow.” 

She is currently an independent board member for three companies in financial services: Agence France Locale, a bank specialising in local authority financing, Exane, a joint venture of the BNP-Paribas group specialising in cash equity, derivatives and asset management, and Qivalio, a European rating, research and advisory agency in the field of sustainable finance.

In addition, as part of her philanthropic activities and her interest in education, she is also a trustee of the United Nations International School (UNIS) in New York and of the Dauphine USA Foundation.

A graduate of Sciences Po Paris, she holds a Master’s degree in corporate finance from the University of Paris Dauphine and a management program from the University of Virginia Darden Business School.
